FreightProof Service Agreement

By creating an account or using FreightProof services ("Service"), you agree to the following terms. If you do not agree, do not use the Service.

1. Data Sources and Accuracy

FreightProof aggregates data from publicly available government sources, including but not limited to:

  • FMCSA Safety and Fitness Electronic Records (SAFER)
  • FMCSA Safety Measurement System (SMS)
  • FMCSA QCMobile API
  • FMCSA Licensing & Insurance (L&I)
  • National Highway Traffic Safety Administration (NHTSA)
  • Data.transportation.gov (Socrata open data)

    • All data is sourced from U.S. government databases and is provided "as is." Rootz Corp does not independently verify, guarantee, or warrant the accuracy, completeness, timeliness, or reliability of any government-sourced data. Government databases may contain errors, omissions, or outdated information.

    2. No Warranty

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

    Rootz Corp makes no representation or warranty that:

  • Data from government sources is accurate, current, or complete
  • Risk scores or recommendations are error-free
  • The Service will meet your specific compliance requirements
  • The Service will be uninterrupted or error-free

    • 3. Risk Scores Are Informational Only

    Risk scores, risk levels, recommendations, and red flags generated by FreightProof are informational tools only and do not constitute legal advice, compliance certification, or a guarantee of carrier safety. Risk assessments are algorithmically derived from publicly available data and should be used as one factor among many in your carrier selection process.

    You are solely responsible for your carrier selection decisions. FreightProof does not make hiring, contracting, or dispatch decisions on your behalf.

    4. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOTZ CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use of or inability to use the Service
  • Any errors or inaccuracies in government-sourced data
  • Any carrier selection decisions made using the Service
  • Unauthorized access to or alteration of your data
  • Any third-party conduct on the Service

    • IN NO EVENT SHALL ROOTZ CORP'S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

    5. Indemnification

    You agree to indemnify, defend, and hold harmless Rootz Corp, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Service or your violation of these terms.

    6. Data Wallets and Evidence Packages

    Data Wallets and evidence packages are sealed records of data as it existed at the time of vetting. They are cryptographically hashed and blockchain-anchored to prove temporal existence, not to guarantee the accuracy of the underlying government data. The evidentiary value of these records is for your legal counsel to determine.

    7. Credit-Based Billing

  • Credits are non-refundable once purchased
  • Free signup credits are granted once per account
  • Credits do not expire
  • Each credit entitles you to one carrier vetting record

    • 8. Acceptable Use

    You agree not to:

  • Resell or redistribute FreightProof data without authorization
  • Use the Service to discriminate against carriers on any legally protected basis
  • Attempt to circumvent rate limits or access controls
  • Use automated means to access the Service beyond the provided API

    • 9. Governing Law

    This Agreement is governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Berkshire County, Massachusetts.

    10. Changes to Terms

    Rootz Corp may update these terms at any time. Continued use of the Service after changes constitutes acceptance. Material changes will be communicated via the email address on your account.
