These Terms of Service ("Terms") govern your access to and use of FreightProof (freight.rootz.global), a carrier due diligence platform operated by Rootz Corp ("FreightProof," "we," "us," or "our"). By creating an account or using the service, you agree to be bound by these Terms.

FreightProof is a business-to-business service. By using FreightProof, you represent that you are acting on behalf of a company engaged in freight brokerage, logistics, or a related industry.


1. Service Description

FreightProof is a carrier due diligence platform for freight brokers. The service compiles vetting records on motor carriers using publicly available data from the Federal Motor Carrier Safety Administration (FMCSA) and other government sources.

Each vetting record is packaged as a Data Wallet -- a sealed, blockchain-anchored evidence package that captures the carrier's compliance profile at a specific point in time. Data Wallets are independently verifiable using SHA-256 cryptographic hashing and blockchain anchoring via OpenTimestamps.

2. Account Registration

  • One account per company. Each account represents a single brokerage or logistics company.
  • You must provide accurate company and contact information at registration.
  • Authentication is handled via magic link (passwordless email authentication). You are responsible for maintaining the security of the email address associated with your account.
  • You are responsible for all activity that occurs under your account.
  • 3. Acceptable Use

    You may use FreightProof solely for legitimate carrier due diligence and compliance purposes, including but not limited to broker-carrier vetting, FMCSA compliance verification, and regulatory record-keeping.

    You agree not to:

  • Use automated tools, bots, or scripts to access the service or extract data in bulk.
  • Resell, redistribute, or sublicense raw data obtained from FreightProof.
  • Use the service for any purpose unrelated to freight industry due diligence.
  • Attempt to circumvent any security or access controls.
  • Misrepresent your identity or company affiliation.
  • You may share sealed Data Wallets with counterparties, legal counsel, regulators, or auditors in the ordinary course of business. The sealed evidence packages are designed to be shared -- that is their purpose.

    4. Credits and Payment

    Free credits. Each new account receives 30 free credits upon signup. This is a one-time offer; free credits are not renewable.

    Purchased credits. Additional credits may be purchased at the following rates (subject to change for future purchases):

    Credit terms:

  • Purchased credits never expire.
  • All sales are final. Credits are non-refundable digital goods.
  • Pricing is subject to change. Any price changes apply only to future purchases; credits already purchased are not affected.
  • Payments are processed by Stripe. Your use of Stripe is subject to Stripe's terms of service.
  • 5. Data Wallets and Evidence Packages

    Sealing. Each Data Wallet is cryptographically sealed at the point of creation. Once sealed, FreightProof does not and cannot modify the contents of a Data Wallet.

    Verification. Data Wallet integrity can be independently verified using standard SHA-256 hashing. No proprietary tools are required to confirm that a record has not been altered.

    Blockchain anchoring. Data Wallets are anchored to the Bitcoin blockchain via OpenTimestamps, providing a publicly verifiable timestamp that proves the record existed at a specific point in time.

    Persistence. Sealed Data Wallets remain verifiable regardless of your account status. The cryptographic proofs are self-contained and do not depend on continued access to FreightProof.

    6. Accuracy Disclaimer

    FreightProof compiles data from the FMCSA and other publicly available government sources. We present this data as-is.

  • FreightProof does not guarantee the accuracy, completeness, or timeliness of the underlying government data. The FMCSA and other agencies are the authoritative sources; FreightProof aggregates and seals their published records.
  • Each vetting record reflects the data available at the time the record was created. Carrier status, safety ratings, insurance coverage, and other data points may change after a record is sealed.
  • You should verify critical information directly with the FMCSA or the carrier when making time-sensitive decisions.
  • 7. No Legal Advice

    FreightProof provides evidentiary records and due diligence tools. FreightProof does not provide legal advice.

    The service is designed to help you document your vetting process, not to determine whether a carrier meets your legal or regulatory obligations. Consult qualified legal counsel for compliance decisions, including but not limited to FMCSA regulatory compliance, FSMA Section 204 food traceability requirements, and broker liability under 49 CFR Part 371.

    8. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • FreightProof is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • FreightProof shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, however caused and regardless of the theory of liability.
  • FreightProof's total aggregate liability for any claims arising out of or related to these Terms or the service shall not exceed the total fees paid by you to FreightProof during the twelve (12) months immediately preceding the event giving rise to the claim.
  • FreightProof is not liable for any decisions you make based on information contained in vetting records.
  • 9. Intellectual Property

    The FreightProof platform, Data Wallet format, sealing methodology, blockchain anchoring implementation, and all associated technology, software, and documentation are the proprietary property of Rootz Corp.

    Nothing in these Terms grants you any right, title, or interest in FreightProof's technology beyond the limited right to use the service as described herein.

    Government data sourced from the FMCSA is public information and is not subject to this intellectual property provision.

    10. Termination

  • Either party may terminate the relationship at any time. To close your account, contact us at steven@sprague.com.
  • We may suspend or terminate your account if you violate these Terms.
  • Upon termination, any Data Wallets you have already received remain valid and verifiable. The cryptographic seals and blockchain anchors are immutable by design and do not depend on an active account.
  • Unused purchased credits are forfeited upon termination by us for cause (i.e., violation of these Terms). If you voluntarily close your account, contact us to discuss any remaining credit balance.
  • 11. Governing Law

    These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Massachusetts.

    12. Changes to These Terms

    We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via the email address associated with your account before the changes take effect.

    Continued use of FreightProof after the effective date of updated Terms constitutes acceptance of those changes.
